1. Acceptance of Terms

By accessing or using the Nuvio platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service Description

Nuvio is a Total Agents Platform (TAP) that enables teams to build, deploy, and run AI-powered agents for complex, repeatable business processes. The Service includes the web application, API, agent execution engine, and related tools.

3. User Responsibilities

• You must provide accurate account information and keep it up to date.
• You are responsible for maintaining the security of your account credentials.
• You must not use the Service for any unlawful purpose or in violation of these Terms.
• You are responsible for all activities that occur under your account or organization.
• You must comply with all applicable laws and regulations, including data protection laws.

4. Intellectual Property Rights

• Your Content: You retain all ownership rights to the inputs, data, and outputs you create using the Service. Nuvio does not claim ownership of your content.
• Platform IP: Nuvio retains all rights, title, and interest in the platform, including its software, algorithms, designs, documentation, and branding. The Service is licensed, not sold.
• Feedback: If you provide suggestions or feedback about the Service, Nuvio may use it without obligation to you.

5. Service Availability

• Nuvio provides the Service on a best-effort basis. We strive for high availability but do not guarantee uninterrupted access.
• Scheduled maintenance may occur with reasonable advance notice posted on the platform status page.
• Nuvio is not liable for downtime caused by factors beyond our reasonable control, including third-party service providers, internet outages, or force majeure events.

6. Fees and Billing

• Pricing is based on per-organization credit consumption. Details are available on the pricing page.
• All fees are non-refundable unless otherwise stated.
• Nuvio reserves the right to modify pricing with 30 days' prior notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

NUVIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NUVIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NUVIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Termination

• You may terminate your account at any time through the platform settings.
• Nuvio may suspend or terminate your access for violation of these Terms or for any other reason with 30 days' notice.
• Upon termination, your data will be retained for 30 days before deletion, during which you may export it.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising under these Terms shall be submitted to the exclusive jurisdiction of the courts of São Paulo, SP, Brazil.

11. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting Nuvio at legal@nuvio.com.br. If the dispute is not resolved within 30 days, either party may initiate formal proceedings in the courts of São Paulo.

12. Changes to Terms

Nuvio reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

1. Aceitação dos Termos

Ao acessar ou utilizar a plataforma Nuvio ("Serviço"), você concorda em se vincular a estes Termos de Serviço ("Termos"). Se não concordar, não utilize o Serviço.

2. Descrição do Serviço

A Nuvio é uma Total Agents Platform (TAP) que permite que equipes construam, implantem e executem agentes de IA para processos de negócios complexos e repetitivos. O Serviço inclui a aplicação web, API, motor de execução de agentes e ferramentas relacionadas.

3. Responsabilidades do Usuário

• Você deve fornecer informações de conta precisas e mantê-las atualizadas.
• Você é responsável por manter a segurança das suas credenciais de acesso.
• Você não deve utilizar o Serviço para qualquer finalidade ilegal ou em violação destes Termos.
• Você é responsável por todas as atividades que ocorram sob sua conta ou organização.
• Você deve cumprir todas as leis e regulamentos aplicáveis, incluindo leis de proteção de dados.

4. Direitos de Propriedade Intelectual

• Seu Conteúdo: Você retém todos os direitos de propriedade sobre os inputs, dados e outputs que criar utilizando o Serviço. A Nuvio não reivindica propriedade sobre seu conteúdo.
• PI da Plataforma: A Nuvio retém todos os direitos, títulos e interesses na plataforma, incluindo seu software, algoritmos, designs, documentação e marca. O Serviço é licenciado, não vendido.
• Feedback: Se você fornecer sugestões ou feedback sobre o Serviço, a Nuvio poderá utilizá-los sem obrigação para com você.

5. Disponibilidade do Serviço

• A Nuvio fornece o Serviço em regime de melhor esforço. Buscamos alta disponibilidade, mas não garantimos acesso ininterrupto.
• Manutenções programadas poderão ocorrer com aviso prévio razoável publicado na página de status da plataforma.
• A Nuvio não é responsável por indisponibilidades causadas por fatores fora de nosso controle razoável, incluindo provedores de serviços terceirizados, interrupções de internet ou eventos de força maior.

6. Taxas e Faturamento

• Os preços são baseados no consumo de créditos por organização. Detalhes estão disponíveis na página de preços.
• Todas as taxas são não reembolsáveis, salvo disposição em contrário.
• A Nuvio reserva-se o direito de modificar os preços com aviso prévio de 30 dias.

7. Limitação de Responsabilidade

NA EXTENSÃO MÁXIMA PERMITIDA POR LEI, A NUVIO NÃO SERÁ RESPONSÁVEL POR QUAISQUER DANOS INDIRETOS, INCIDENTAIS, ESPECIAIS, CONSEQUENCIAIS OU PUNITIVOS, INCLUINDO, MAS NÃO SE LIMITANDO A, PERDA DE LUCROS, DADOS, USO OU REPUTAÇÃO, DECORRENTES OU RELACIONADOS AO SEU USO DO SERVIÇO.

A RESPONSABILIDADE TOTAL DA NUVIO POR QUALQUER RECLAMAÇÃO DECORRENTE DESTES TERMOS OU DO SERVIÇO NÃO EXCEDERÁ OS VALORES PAGOS POR VOCÊ À NUVIO NOS DOZE (12) MESES ANTERIORES À RECLAMAÇÃO.

8. Isenção de Garantias

O SERVIÇO É FORNECIDO "NO ESTADO EM QUE SE ENCONTRA" E "CONFORME DISPONÍVEL", SEM GARANTIAS DE QUALQUER NATUREZA, SEJAM EXPRESSAS, IMPLÍCITAS OU LEGAIS, INCLUINDO, MAS NÃO SE LIMITANDO A, GARANTIAS IMPLÍCITAS DE COMERCIALIZAÇÃO, ADEQUAÇÃO A UM DETERMINADO FIM E NÃO VIOLAÇÃO.

A NUVIO NÃO GARANTE QUE O SERVIÇO SERÁ ININTERRUPTO, LIVRE DE ERROS OU SEGURO, OU QUE QUAISQUER DEFEITOS SERÃO CORRIGIDOS.

9. Rescisão

• Você pode encerrar sua conta a qualquer momento através das configurações da plataforma.
• A Nuvio pode suspender ou encerrar seu acesso por violação destes Termos ou por qualquer outro motivo com aviso prévio de 30 dias.
• Após a rescisão, seus dados serão retidos por 30 dias antes da exclusão, durante os quais você poderá exportá-los.

10. Lei Aplicável

Estes Termos serão regidos e interpretados de acordo com as leis da República Federativa do Brasil. Quaisquer disputas decorrentes destes Termos serão submetidas à jurisdição exclusiva dos tribunais de São Paulo, SP, Brasil.

11. Resolução de Disputas

Antes de apresentar qualquer reclamação judicial, você concorda em tentar resolver a disputa de forma amigável entrando em contato com a Nuvio em legal@nuvio.com.br. Se a disputa não for resolvida em 30 dias, qualquer das partes poderá iniciar procedimentos formais nos tribunais de São Paulo.

12. Alterações nos Termos

A Nuvio reserva-se o direito de modificar estes Termos a qualquer momento. Alterações materiais serão comunicadas por e-mail ou notificação no aplicativo com pelo menos 30 dias de antecedência. O uso continuado do Serviço após as alterações constitui aceitação.
